What are the main sectors in which A2A operates?
The business sectors in which the A2A Group operates are as follows:
- Energy Sector
This sector’s activity is selling electricity and natural gas on wholesale and retail energy markets. The sales and marketing areas have the support of other activities involved in fuel procurement, power plant planning and dispatching, portfolio optimization and trading on domestic and foreign markets. - Heat and Services Sector
This sector’s activity is mainly selling the heat and electricity produced by the cogeneration plants (mostly) owned by the Group. Cogenerated heat is sold through district heating networks. The sector also provides services, such as managing district heating plants owned by third parties (heat management services) and facility management. - Environment Sector
This sector’s activity relates to the whole waste management cycle, from collection and street sweeping, to treatment, disposal and recovery of materials and energy. In fact, this sector’s activity includes the recovery of the energy content in waste by means of refuse WTE (Waste-To-Energy) or biogas plants. - Networks Sector
This sector’s activity includes managing networks for the transmission and distribution of electricity and for the transport and distribution of natural gas, as well as running the entire Integrated Water Cycle (water captation, aqueduct management, water distribution, sewer network management, water purification).- View A2A Group structure

What’s the meaning of the name and the logo of A2A?
The name “A2A” is a symbolic synthesis of the name Adda, the river from which derives the industrial wealth of AEM Milano and ASM Brescia. “A” is also the first letter of the name of the two companies. A2A’s logo symbolizes an energy explosion from two suns.

PricewaterhouseCoopers S.p.A. carries out the full audit of A2A Financial Statements on basis of a nine-year appointment (2007-2015) by the Shareholders Meeting.
Which are the accounting standards for A2A accounts?
A2A quarterly and annual reports are compliant with the IAS/IFRS reporting rules. The "International Financial Reporting Standards" (IFRS) are a set of international reporting rules, ratified by the European Commission, that Companies with securities listed on regulated markets of Member States of the European Union are required to adopt for their consolidated financial statements starting in 2005.
Where is the dividend taken from?
Given the number of shares currently in circulation (3,105,987,668 shares, taking account of 26,917,609 treasury shares in portfolio), the distribution of the ordinary dividend 2010 of Euro 0.060 amounts in total to Euro 186,359,260.08 entirely taken from net income 2010. The distribution of the non-recurring additional dividend of Euro 0.036 amounts in total to Euro 111,815,556.05, (Euro 97,499,928,62 from net income 2010 and Euro 14,315,627.43. from other reserves)

What’s the exact amount of dividend per share and the pay-out ratio?
For 2010 the dividend per share is equal to 0.096 € (pay-out ratio equal to 97%).

What is A2A dividend policy?
The Management Board formulated the proposal to distribute a dividend for ordinary shares equal to 0.06 euros, corresponding to a pay out around 60%. The company is oriented to adopt the same percentage also in the next years.
In consideration of the extraordinary positive results connected to the disposal of non-strategic shareholdings, this year the Management Board will also submit to the Shareholders' meeting the proposal for an additional not recurrent dividend equal to 0.036 euros per ordinary share.
How are dividends taxwise?
Dividends no longer attract any tax credit and, depending on who the recipient is, they may be subject to withholding tax at source or, in part, contribute towards taxable income.
What is the Corporate Governance model of A2A?
A2A adopted the two – tier system, a newly model in the domestic market.
The main characteristic of this model is a clear distinction of roles and responsibilities between shareholders, Supervisory Board and Management Board. In detail:

How long are the Supervisory and Management Boards in charge?
The Supervisory Board and the Management Board are appointed for three years. The current mandate will last up to the AGM planned for 2012.

Which commitees have been set up in A2A?
Pursuant to article 25 of the company’s By-Laws, the Supervisory Board has set up the following three Committees, determining its powers and the rules for its functioning:
- Internal Control Committee
- Appointments Committee
- Remuneration Committee.
Moreover, pursuant to Supervisory Board Regulation, the Supervisory Board has deliberated the establishment of the Corporate Donations Committee.

When is the Annual General Meeting held?
As laid down in A2A By-Laws, the company holds one compulsory Shareholders’ General Meeting per year. The Annual General Meeting is called by the Management Board, after consulting
the Chairman of the Supervisory Board, within 120 days (or 180 days under certain circumstances) after the end of the fiscal year.

Where and when is the Notice of the Annual General Meeting published?
The Notice of Annual General Meeting, is published, 30 days before the Meeting, both in the Italian Republic Gazette and in “Il Sole 24 Ore” newspaper.

AGM: how to participate?
Only the shareholders whose holding has been certified to A2A by the depositary broker at least 2 days before the AGM are legitimate to participate. When the AGM takes place the shareholder has to show a copy of that certification. The shareholder can also give someone else a proxy, as allowed by the article 2372 of the Italian Civil Code: in the latter case the person has to show a copy of the certification, the proxy and the identity card.
Morever, financial analysts, journalists and guests can participate in AGM, under authorization, as listeners with no voting rights.
